Course Content:

    Module 1: Fundamentals of Company Law

  1. Company against other form of organization (Comparison of features of a company from Sole Proprietorship, Partnership Firm, LLP, HUF etc.)
  2. Company as a separate personality (Features of a company, Separate legal entity, lifting of corporate veil)
  3. Promotion of a company (Incorporation, Role of promoter, can a professional be considered as a promoter, pre-incorporation contracts, legal position of a promoter)
  4. Constitutional documents and Popular Doctrines (MOA, AOA, Doctrine of Constructive Notice, Doctrine of indoor management, Doctrine of Ultra-Vires, Doctrine of Alter Ego)
  5. Reading of Balance Sheet, Funding for a Company and Issues of shares

(Debt, Mezzanine, Equity) (Right issue, bonus issue, Public issue)

 (Shareholders agreement, Private Placement)

Module 2: Management and control of a Company

  1. Board meeting (Appointment of directors, types of directors, rotation of directors, meeting of directors and its rules, concept of casting vote)
  2. General Meeting (Meeting of shareholders and its rules, Annual general meeting, Extraordinary general meeting, types of business transacted, types of resolutions passed, concept of special notice)
  3. Virtual Meeting (Online board meeting, e-voting for shareholders, concept of postal ballet)Foss V. Harbottle

(Rule of majority, minority rights, Oppression and mismanagement)

 

    Module 3: Reconstruction and closure of a company

  1. Reconstruction (Amalgamation, Merger, De-merger, Acquisitions and Internal reconstruction)
  2. Dissolution and winding up (Creditors Voluntary winding up, Members voluntary winding up, Compulsory winding up, Liquidator, statement of affairs, striking off name of the company)
  3. Insolvency and bankruptcy code, 2016

     Module  4 – Allied  laws  (overview)

  1. Corporate taxation (Income tax Act, 1961, goods and service tax, custom laws, Vodafone case)
  2. Limited Liability Partnership Act, 2008
  3. Competition Act, 2002
  4. Takeover code
  5. Securities Laws (SEBI, SCRA, Depositories, Beneficial owner, registered owner, dematerialization, Insider Trading)
  6. Intellectual Property laws

Classroom– 72 Hours of learning

Eligibility: Any Graduate

  • Commencement of Course: 13th January, 2020
  • Last date of the course – 28th February
  • Timings: 4.00 pm to 6.00 pm
  • Days: Monday to Friday

Self-Study:

  • Case Studies
  • Relevant provisions of law

Assessment

  • Attendance – 10 marks
  • 3 MCQ exam – 50 marks each i.e. Total 150 marks
  • One MCQ on entire Syllabus – 200 marks
  • Viva – 40 marks

 

Faculty:

Classroom training will be provided by Senior Corporate Lawyers, Chartered Accountants, Company Secretaries and Experts from Corporate Sector.

Certificate will be issued to the student who –

  • Has attended 70% of the lectures and
  • Has appeared and passed with at least 40% marks in all the assessments.

  • Case Studies.

Seats: 100 students Maximum

     Registration Open: From: 5th December 2019 to 13th January 2020

     Registration Fees:  Rs.20000/- + GST – Rs.3600/- = Rs. 23600/-

    Payment Mode:   Online.

     Payment can be done online through Direct SBI, Net banking and  

     Credit card only.

    Debit Cards payments are not acceptable.
